These Terms of Service ("Terms") govern access to and use of Edplus360 (the "Service"), developed and operated by Efficiencie (Pty) Ltd ("Efficiencie", "Company", "we", "us", or "our"), of Plot 3413 Kiwafu Road, Kansanga, P. O. Box 1930, Kampala, Uganda. By accessing or using the Service, you agree to these Terms.

1. The Service

Edplus360 is a multi-tenant school management platform that helps schools and similar institutions ("Customer" or "School") manage admissions, attendance, academics, fees and invoicing, human resources, communications, and related administrative functions. Schools subscribe to the Service under an order or agreement with us; their staff, students, and parents/guardians then access it as "End Users" through accounts the School creates or authorises.

2. Accounts and eligibility

A School must provide accurate information when setting up its account and is responsible for all activity that occurs under accounts it creates, including those of its staff, students, and parents/guardians. End Users must keep their login credentials confidential and notify the School or us promptly of any suspected unauthorised use.

3. Customer responsibilities

As the party that enters, manages, and controls data in the Service, the School is responsible for:

• obtaining any consents or authorisations required by applicable law before entering personal data — including data about students, who are often minors — into the Service, and before sending communications through it;
• the accuracy of the data it enters and the appropriateness of the roles and permissions it grants to its staff, students, and parents/guardians;
• its own compliance with data protection, education, labour, and other laws applicable to its operations; and
• promptly notifying us of any suspected security incident involving its account.

4. Acceptable use

You agree not to use the Service to:

• violate any applicable law or the rights of any third party;
• upload or transmit malicious code, or attempt to gain unauthorised access to the Service or another School's data;
• interfere with or disrupt the integrity or performance of the Service;
• send unsolicited, abusive, or unlawful communications through the Service's email, SMS, or messaging features; or
• reverse engineer, resell, or sublicense the Service except as expressly permitted in a written agreement with us.

5. Fees and payment

Schools pay fees for the Service as set out in their order, invoice, or agreement with us. Invoices are payable by the due date shown; we may suspend access to the Service for an account with fees significantly overdue, after reasonable notice. Fees are exclusive of applicable taxes unless stated otherwise.

6. Customer data and ownership

As between a School and Efficiencie, the School owns the data it and its End Users enter into the Service ("Customer Data"). We do not claim ownership of Customer Data and will only use it to provide, support, and secure the Service, as described in our Privacy Policy. On termination, a School may request export of its Customer Data within a reasonable period, after which we may delete it in accordance with our data retention practices.

7. Confidentiality

Each party will protect the other's confidential information with the same degree of care it uses for its own confidential information of similar importance, and will use it only to perform its obligations under these Terms.

8. Intellectual property

The Service, including its software, design, and branding, is owned by Efficiencie and its licensors and is protected by applicable intellectual property laws. Subject to these Terms, we grant each School a limited, non-exclusive, non-transferable right to access and use the Service for its own internal administrative and educational purposes for the duration of its subscription.

9. Service availability and support

We aim to keep the Service available and reliable, and we perform regular backups, but we do not guarantee uninterrupted or error-free operation. We may carry out scheduled maintenance, and will use reasonable efforts to minimise disruption. Support is available through the contact details below or any support channel we separately communicate.

10. Term and termination

These Terms apply for as long as a School's subscription is active. We may suspend or terminate access to the Service for a material breach of these Terms, including non-payment, that is not cured within a reasonable period after notice. A School may terminate by cancelling its subscription in accordance with its order or agreement with us.

11. Disclaimer of warranties

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, Efficiencie will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, data, or goodwill, arising from use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the fees paid by the relevant School for the Service in the twelve (12) months preceding the claim.

13. Indemnification

Each party agrees to indemnify and hold the other harmless from third-party claims arising from its own breach of these Terms or violation of applicable law, to the extent permitted by law.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of Uganda, without regard to conflict-of-law principles. The parties will first attempt to resolve any dispute through good-faith negotiation; unresolved disputes will be subject to the exclusive jurisdiction of the courts of Uganda, unless otherwise agreed in writing.

15. Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, take reasonable steps to notify School administrators. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
